These Terms of Use govern your use of versmos.com and, where applicable, your purchase or use of services provided by Versmos. By using this website, submitting an inquiry, or engaging Versmos for services, you agree to these Terms. If you do not agree to these Terms, do not use this website or submit project information through it.

About Versmos

Versmos provides creative services including video editing, motion design, ad creatives, and related content production services for brands, agencies, and growing teams.

Website Use

You agree to use this website only for lawful purposes and in a way that does not infringe the rights of, restrict, or interfere with anyone else's use of the website.

You may not:

  • use the site in violation of any applicable law
  • attempt to gain unauthorized access to the site, servers, or connected systems
  • interfere with the operation or security of the site
  • copy, scrape, reproduce, republish, or distribute site content without written permission, except as allowed by law

Project Requests and Acceptance

Submitting a form, inquiry, or application through this website does not guarantee acceptance of a project.

Versmos may accept or decline any request at its discretion.

If Versmos agrees to take on a project, the project scope, timeline, pricing, deliverables, included revision rounds, and any special terms may be confirmed through a proposal, invoice, written approval, email confirmation, WhatsApp confirmation, or another written communication. Those project-specific details will form part of the agreement between you and Versmos.

If there is a conflict between these Terms and a written project approval, proposal, invoice, or written communication confirming project terms, the written project-specific terms will control for that project.

Deposits, Payments, and Suspension

A deposit may be required before work begins. Unless otherwise agreed in writing, project work starts only after the required deposit is received.

Unless otherwise stated in writing:

  • deposits are non-refundable once paid because they reserve production time, scheduling, onboarding, and related internal resources
  • remaining balances are due according to the approved invoice or written project terms
  • late payments may incur a late fee of 1% per month or the maximum amount allowed by applicable law, whichever is lower
  • Versmos may pause or suspend active work, delivery, or access to files if payments are overdue

Revisions and Approval

Unless otherwise agreed in writing, each project includes the number of revision rounds stated in the approved proposal, invoice, or written scope.

If no separate written revision count is provided, the project includes up to five revision rounds.

Additional revisions, change requests, or out-of-scope work may be billed separately.

You are responsible for reviewing deliverables promptly and providing consolidated feedback. If no written rejection or revision request is sent within five business days after delivery, Versmos may treat the delivered work as accepted.

Client Materials and Cooperation

You agree to provide the information, assets, access, approvals, and feedback reasonably needed to complete the project.

You represent that you have the legal right to use and provide any materials you submit to Versmos, including footage, music, logos, photos, text, trademarks, and other content.

Versmos is not responsible for delays caused by missing materials, delayed approvals, or inaccurate information provided by the client.

Ownership and Usage Rights

Final Deliverables

Subject to full payment of all amounts due, Versmos grants the client the right to use the final approved deliverables for the purposes agreed for the project.

Source Files

Editable source files, project files, working files, and production files, including but not limited to After Effects files, Premiere Pro project files, layered design files, and raw working assets, are not included unless expressly stated in writing.

If source files are purchased or otherwise included in writing, transfer of any related rights is subject to full payment and the written terms of that transfer.

Third-Party Materials

Certain assets used in a project may be subject to third-party license terms, including stock media, music, fonts, templates, plugins, or platform assets. Those third-party rights remain subject to their original license terms and are not transferred except as allowed by the applicable license.

Portfolio Use

Unless otherwise agreed in writing, Versmos may display completed work, project excerpts, thumbnails, stills, descriptions, and the client's name or logo in its portfolio, website, social media, presentations, and marketing materials.

Cancellations and Scope Changes

You may request a cancellation or scope change at any time.

If a project is canceled or materially changed after work has started:

  • deposits already paid remain non-refundable
  • you must pay for work completed up to the cancellation or change date
  • you must reimburse approved third-party costs or non-cancellable commitments incurred for the project
  • Versmos may withhold delivery or transfer of final files until all outstanding amounts are paid

Disclaimer

Versmos provides creative services on an as-available and commercially reasonable basis.

While Versmos aims to deliver professional-quality work and meet agreed timelines, the website and services are provided without warranties of any kind except where required by law or expressly stated in writing.

Limitation of Liability

To the maximum extent permitted by law, Versmos will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or business interruption.

To the maximum extent permitted by law, Versmos's total liability arising out of or related to the website or services will not exceed the total amount actually paid by the client to Versmos for the specific project giving rise to the claim.

Nothing in these Terms limits liability where liability cannot be excluded under applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Versmos and its owners, team members, contractors, and affiliates from claims, damages, liabilities, costs, and expenses arising out of:

  • materials you supplied
  • your misuse of the website
  • your breach of these Terms
  • your violation of any law or third-party right

Confidentiality

Each party agrees to keep non-public business, project, and strategic information received from the other party confidential and to use it only as needed for the project, except where disclosure is required by law or the information becomes public without breach of this section.

Third-Party Tools and Platforms

Versmos may use third-party tools, platforms, hosting providers, communication tools, payment processors, and software in connection with the website or services. Versmos is not responsible for outages, changes, or failures caused by third-party services outside its reasonable control.

Termination

Versmos may suspend or terminate access to the website or decline further services if you violate these Terms, fail to pay invoices when due, misuse the site, or act in a way that materially interferes with the project or working relationship.

Governing Law and Jurisdiction

These Terms are governed by the laws of Pakistan.

Any dispute arising out of or relating to these Terms or the services provided by Versmos will be subject to the exclusive jurisdiction of the courts of Rawalpindi, Pakistan.

Changes to These Terms

Versmos may update these Terms from time to time by posting the updated version on this page and updating the Last Updated date.

Changes apply prospectively after posting unless otherwise required by law.
